1.Services

Torque provides design, development, and software solutions. Specific terms related to individual projects (including timelines, deliverables, and payment schedules) will be agreed upon in a separate written agreement or proposal.

2. Client Responsibilities

Clients must provide all necessary content, materials, and approvals needed to complete the project.
Clients are responsible for ensuring they have the rights and licenses for any content they provide.
Any delays in providing content or approvals may impact the agreed timeline.

3. Payments

All invoices must be paid in accordance with the agreed payment schedule.
We reserve the right to suspend or terminate services if payments are overdue.
Any additional work requested beyond the agreed scope will be charged at our standard rates.

4. Intellectual Property

Upon full payment, all final deliverables (websites, designs, software) will be transferred to the client.
Torque retains the right to showcase completed projects in our portfolio and marketing materials.
Any third-party tools, software, or plugins used in the project will remain subject to their respective licenses.

5. Revisions

Each project includes a set number of revisions as stated in the project agreement. Additional revisions may incur extra charges.

6. Warranties & Liabilities

We make reasonable efforts to deliver error-free services, but we do not guarantee that all products will be entirely free of bugs or security issues.
Torque will not be liable for any indirect, incidental, or consequential damages resulting from the use of our services.

7. Termination

Either party may terminate the agreement with written notice if the other party breaches the terms and fails to remedy the breach within a reasonable time.
Upon termination, the client must pay for all work completed up to the termination date.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

9. Third-Party Services

If the project requires third-party services (e.g., hosting, domain registration, APIs), the client may be required to maintain their own accounts with those providers.
Torque is not responsible for the performance or availability of third-party services.

10. Governing Law

These Terms & Conditions are governed by the laws of Bangladesh. Any disputes will be resolved in the courts of Dhaka, Bangladesh.

11. Changes to Terms

We reserve the right to update or modify these Terms & Conditions at any time. Changes will be posted on this page with an updated effective date.
